Terms of Service

These terms are an agreement between you and Geoptly Intelligence Inc., the company behind magnetchat. By creating an account or using the service you agree to them. magnetchat is a business-to-business service; you represent that you're using it on behalf of a business.

The service

magnetchat pairs AI chat with lead magnets you publish: it hosts your documents, engages your leads in conversation, qualifies them against criteria you configure, and delivers lead data and briefs to you and, at your direction, to your CRM.

Your account

Keep your credentials secure; you're responsible for activity under your account and workspace, including teammates you invite.

Your content and your leads

You own the documents you upload and all lead data generated from them. You grant us the rights needed to operate the service on that content — hosting it, indexing it, and processing conversations with AI models to provide the features. You are responsible for having the rights to the content you upload and for collecting leads lawfully, including any notice or consent your leads' jurisdictions require and the accuracy of the privacy and terms links you configure on your capture pages.

Acceptable use

No unlawful, deceptive, or harmful use: don't upload content you lack rights to, don't use the service to spam or mislead, don't probe or disrupt the infrastructure, and don't attempt to extract other customers' data. We may suspend accounts that put the service or others at risk.

Plans and billing

Free and paid plans are described on our pricing page. Paid usage is metered in qualified leads: leads the AI marks sales-ready in conversation, using the qualification criteria you set. Past your plan's included volume, additional qualified leads bill at the published per-lead rate, subject to a monthly overage cap you control; at your cap, chat pauses while capture pages and downloads keep working. Subscriptions renew until cancelled; fees are non-refundable except where required by law. We'll give notice before price changes take effect.

AI outputs

The assistant's answers, qualification judgments, and briefs are generated by AI and may contain errors. They are provided to assist your team, not to replace its judgment; review them before relying on them for business decisions.

Intellectual property

We own the service, its software, and its branding. You own your content and data. Feedback you send us may be used to improve the service without obligation.

Termination

You can cancel anytime; your workspace data is deleted on request. We may terminate for material breach of these terms with notice where practicable.

Disclaimers and liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees you paid us in the twelve months before the claim, and neither party is liable for indirect or consequential damages.

Governing law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, and disputes are subject to the courts of British Columbia.

Changes

We may update these terms; material changes will be announced by email before they take effect. Continued use after changes means acceptance.
